You only
sell once.

We don’t chase attention through marketing. We command it by defining your value through clarity and advocacy.

Representation
and process
matter greatly

We specialize in guiding lower middle market and emerging growth companies through strategic expansion and business transitions, empowering founders and owner‑operators to exit successfully.

Selling what you’ve built is a momentous milestone. We understand that what’s next is largely unfamiliar with stakes that could not be higher.

For most owners, this occurs once in a lifetime. It is normal to feel a mix of excitement and uncertainty about what lies ahead. This is not just a complex process and financial transaction; it is the future of your legacy, people you care about, and your personal wealth.

Our job is to carry a lot of that weight for you, transforming what feels like an overwhelming, high‑stakes hurdle into a structured, transparent, and successful event.

We protect your interests, manage the complexities, and ensure you secure the maximum value for your hard work — all while allowing you to stay focused on running your day‑to‑day operations.

Our role is to provide the clarity, strategy, and peace of mind you need every step of the way.

Advisory for the transaction
that has no second attempt.

We respect what you’ve built, because we know what it took to build it.

We’ve built a few as well.

Transitioning away from your company isn’t just a business transaction — it’s a personal milestone. We partner closely with founders and owner‑operators at every step, making the exit process as successful and rewarding as the business itself.

Your peace of mind matters more to us than closing a deal. We are here to guide you toward a confident decision that honors everything you’ve created. At the end of the day, our success is defined entirely by how well we guard your legacy.

Your life’s work deserves nothing less.

Answers to what you’re probably already thinking.

While broad mergers and acquisitions (M&A) firms handle everything from buying to merging companies, Vinoy Ventures operates exclusively on the sell side. As your dedicated advisor, we focus on you — and only you. We act as your independent, trusted advocate, protecting your greatest financial asset and legacy.

For founders and owner‑operators of lower middle market companies (typically $1 million to $20 million in revenue), selling a business is often a once‑in‑a‑lifetime milestone. We deliver the structured process, rigorous financial preparation, and strategic negotiation skills required to maximize your value. From initial valuation assessments to managing buyer outreach, protecting confidentiality, and coordinating due diligence through closing, we handle the complexities so you can make critical decisions with confidence.

Our focus belongs to the businesses and communities often overlooked by larger institutions: the smaller markets of the Mid‑Atlantic and Southern regions, and places like them across the country. These are the markets we know, understand, and embrace — professionally and culturally. These are places where a handshake and one’s word matter most.

Sell‑Side Advisory is a fixed retainer for the Assessment stage. If you decide to proceed, the Representation stage is based on a success fee at close. You will know both numbers before you commit to either and the assessment is a complete piece of work on its own — you are not buying a process you can’t pause or altogether stop. Valuation Assessment is established in advance on a fixed‑price basis. Revenue Expansion, Corporate Development, and Corporate Readiness are established in advance on either a retainer or fixed price basis once the scope of work is agreed upon.

That is what either the Assessment stage of Sell‑Side Advisory or the Valuation Assessment answers. Anyone who gives you a number or a set multiple in the first or second meeting is guessing. What we can tell you early on is what drives the number in your industry and roughly what that could translate into depending on the factors we can point to.

We do not list anything. Moreover, we offer expanded services that guide and empower you to decide the best action to take and even jump in with you to get things done that enhance value. You bring us in to tell you what the business is worth and then make an informed decision as to what you do next as opposed to going into selling it blind.

No. Nothing is publicly listed. No marketplace, no blast email, no name on a database. Buyers are approached one at a time, and each one is named and approved by you before any contact. In most engagements nobody inside the company knows until you decide to tell them.

First off, we do Valuation Assessments for purposes other than selling. Value clarification helps families for estate planning considerations or gives business partners information for agreements, resolutions, transitions and other help that comes from understanding their positions. In the case of selling your company, then you will hear that from us. It is the reason an assessment is paid for separately.

No, and this is a common reason owners call. An unsolicited offer is a data point that serves as an affirmation that we should talk and explore if we can help. Price and terms, in this case, are preliminary, unverified, and often inflated to capture your interest. Rarely does this “offer” reflect final payout or the true value of your business.

The Assessment runs thirty to forty‑five days. A sale, once you decide to proceed, typically runs nine to twelve months from preparation to close, though it depends on the business and the buyer.

That is a term of the deal, not an afterthought, and it is negotiated like any other term. Buyers differ enormously on this.

A buyer is purchasing a business that works, and if it works partly because of you, they will want you there through a transition. It is negotiable, and how negotiable depends on how well the business already runs without you. If walking away cleanly matters, that is one of the things worth fixing early.

No, your agreed‑upon purchase price is never your actual take‑home cash. Most lower middle market business owners discover this too late because multiple standard financial mechanisms, taxes, and fees chip away at the final wire. We emphasize that you understand all of this early in the process rather than once the wire clears.

Probably. We work across many sectors — manufacturing and industrial, the building and mechanical trades, construction, healthcare, managed IT, public accounting, wealth management, and others — with founder and privately held companies between $1 million and $20 million in revenue. The full list is on the sectors page. If your business is not on it, ask anyway. Those are the sectors where our work has concentrated, not a boundary around it.

If you know that, great. See if we can help you enhance your business and life by lending a hand. If you’re unsure as to when to sell, then give us a call. We welcome discussing and helping you clarify your thoughts based on things we know, have experienced, and a willingness to openly share. Most of the time, the reason behind timing is lack of clarity on things you haven’t had the time or experience to wrap your hands and head around. You’re running your business and there is only so much time in a day, AI will only get you so far, and our objective, unbiased experience and perspective could be just what you need.

It is completely usual not to know exactly which of these strategic services fits your business right now. The best and simplest way to find out is to just call us. You do not need to have it all figured out before we speak. In just one meeting, we can listen to what you share about what’s going well and what you’re not sure of and ask some questions that will permit us to suggest a path going forward — with or without us.
